Introduction
These Terms and Conditions govern your access to and use of trueadvize.com and the services provided by Advize Branding & Innovation Agency, with offices in Miami, Florida (USA), Amsterdam (Netherlands), and Lima (Peru).
Definitions
"Client" means any individual or entity that engages Advize for services under a Service Agreement.
"Service Agreement" means the specific contract or statement of work executed between Advize and a Client.
"Services" means professional services offered by Advize including branding, advertising, media production, AI workflows, website development, video production, billboard advertising, and business consulting.
"Deliverables" means the tangible and intangible work products produced by Advize for a Client.
Services Overview
Advize provides: Branding & Design, Advertising & Marketing, Media Production, AI Workflows, Website Development, Video Production, and Business Consulting. All services are provided on a contractual basis as defined in the applicable Service Agreement.
Service Agreements and Contracts
All service engagements are governed by a separate Service Agreement. Proposals are valid for 30 days. Any scope changes must be documented in writing and agreed upon by both parties.
Payment Terms
Pricing is as set forth in the applicable Service Agreement. Project-based services typically require a 20% deposit before work begins. Recurring services require prepayment monthly, quarterly, or annually. Late payments may incur a fee of 1.5% per month on the outstanding balance.
Intellectual Property
Client retains all rights to materials provided to Advize. Upon full payment, ownership of final deliverables transfers to the Client. Advize retains the right to display completed work in its portfolio and marketing materials.
Confidentiality
Each party agrees to maintain the confidentiality of all non-public information disclosed by the other party. Confidential information shall only be used to perform or receive services under the Service Agreement.
Client Responsibilities
Clients agree to provide accurate information and feedback in a timely manner, designate a primary point of contact, review and approve deliverables within agreed timeframes, and make payments in accordance with the agreed schedule.
Warranties and Disclaimers
Advize warrants that services will be performed in a professional manner. Advize does not guarantee specific business outcomes, revenue increases, or return on investment from services rendered.
Limitation of Liability
Advize's total aggregate liability shall not exceed the total fees paid by the Client in the twelve months preceding the claim. Advize is not liable for indirect, incidental, special, or consequential damages.
Indemnification
The Client agrees to indemnify Advize from claims arising from the Client's breach of these Terms, Client Materials that infringe on third-party rights, or use of deliverables in a manner not contemplated by the Service Agreement.
Termination
Either party may terminate a Service Agreement as specified in that agreement. Upon termination, the Client shall pay for all services rendered and expenses incurred up to the effective date.
Use of the Site
You may use the Site for lawful purposes only. You agree not to use the Site for any unlawful purpose, attempt unauthorized access, interfere with Site operations, or transmit harmful code.
Third-Party Links
The Site may contain links to third-party websites including Cal.com, Facebook, LinkedIn, and Instagram. Advize does not control or endorse these sites.
Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA. Disputes shall be resolved through binding arbitration in Miami-Dade County, Florida.
Force Majeure
Neither party is liable for delays due to causes beyond reasonable control including acts of God, natural disasters, pandemics, or government actions.
Entire Agreement
These Terms, together with the applicable Service Agreement, Privacy Policy, Cookie Policy, and Refund and Cancellation Policy, constitute the entire agreement between the parties.
